Section V – SentriLock Authorized User Agreement

THIS AGREEMENT is between NORTHWEST MONTANA ASSOCIATION OF REALTORS, INC (NMAR) and the REALTOR® whose name is below and who is a REALTOR® affiliated with a Designated REALTOR® (DR) individually and on behalf of the Brokerage Firm.

• SentriSmart® Receipt & Fees: DR and REALTOR® acknowledge receipt of a SentriLock SentriSmart® application from NMAR, which includes access to the SentriLock Lockbox System and the mobile application called SentriKey. In exchange for the use of the application, a fee will be assessed in an amount to be determined by NMAR. REALTOR® and DR agree to pay said fee(s) to NMAR in accordance with NMAR Policy. Failure to do so may result in suspension of all REALTOR® services.
• Term of Agreement: The term of this Agreement begins on the date of the execution of this Agreement and ends on the date the Authorized User terminates Membership with NMAR. If a Brokerage Firm decides to Opt-In to SentriLock Services the REALTORS® in that Firm agrees to pay the applicable fees associated with the use of the System. If a REALTOR® does not pay the invoice after 30 days, the invoice is transferred to the DR. If the DR does not pay the invoice within another 30 days, the entire Firm is suspended from SentriSmart®.
• Deactivation of SentriSmart® Application: DR and REALTOR® agree that the REALTOR®’s access to the application will be inactivated immediately upon request to do so by the DR or immediately after occurrence of any of the following events:
• Termination of NMAR membership.
• Termination of REALTOR®’s association with the said DR for any reason.
• Failure of the DR or REALTOR® to perform in accordance with any or all terms and conditions herein set forth.
• Disciplinary Action: DR and REALTOR® acknowledge that it is imperative to maintain the security of SentriLock login credentials and agree to be subject to the disciplinary rules and procedures of NMAR for violation of any provision of this Agreement. Failure to comply with the authorized use of the SentriSmart® System will subject REALTOR® to a fine not to exceed $5,000 and loss of access to the SentriSmart® System.
• Disclosure to Clients: The REALTOR® shall obtain specific written authorization from an owner before placing a lockbox on the owner’s property and before the listing is inputted to the MLS, reflecting that a lockbox has been authorized by the owner. REALTOR® agrees to disclose to the owner that the lockbox is not intended as a security device.
• REALTOR®’s Responsibilities:  
• REALTOR® warrants that he/she is a licensed real estate salesperson or broker or appraiser in the State of Montana. REALTOR® agrees to abide by the terms of the Agreement and all rules, regulations and policies associated with the use of the SentriLock® system as established by NMAR and that REALTOR® understands that he/she is not relieved of any responsibility or obligation by the mere fact of such disassociation with the DR.
• REALTOR® agrees to notify NMAR immediately, in writing, should the DR or REALTOR® terminate their relationship or should the REALTOR®’s license be transferred. In the event the REALTOR®’s license is transferred to a different DR; the Subscriber may keep the SentriSmart® Application and agrees to abide by the terms of this Agreement.
• REALTOR® agrees that he/she is jointly and severally liable, together with the DR, for all duties, responsibilities, and undertakings of the REALTOR® under this Agreement.  REALTOR® understands that failure to follow the provisions of the SentriLock Authorized User Agreement may result in the loss of SentriSmart® Application privileges.
• The REALTOR® shall use SentriKey only for the purpose of gaining authorized entry into real property on which a lockbox has been placed.
• REALTORS® shall use either a one-day code or SentriConnect when granting access to a real estate professional who is not a SentriLock subscriber.
• DR’s Responsibilities:   
• DR warrants that DR is a licensed real estate broker of the Northwest Montana Association of REALTORS®
• DR warrants that all REALTORS® associated with DR’s firm possess a real estate license in an active effort to sell real estate or is a licensed or certified real estate appraiser affiliated with DR.
• DR agrees to enforce the terms of the Agreement with respect to any REALTOR® associated with him/her and understands that he/she is not relieved of any responsibility or obligation by the mere fact of such disassociation with REALTOR®.
• DR agrees to notify NMAR immediately, in writing, should the DR or REALTOR® terminate their relationship or should a REALTOR®’s license be transferred.
• DR agrees that should a REALTOR® transfer his/her license to another Brokerage’s firm, that transfer includes all associated duties and obligations relating to the SentriSmart® Application as set forth in this SentriLock Authorized User Agreement.
• DR agrees that he/she is jointly and severally liable, together with the REALTOR®, for all duties, responsibilities, and undertakings of the REALTOR® under this Agreement.  DR understands that failure to follow the provisions of the SentriLock Authorized User Agreement may result in the loss of SentriSmart® privileges and, further, could cause NMAR to recall all SentriSmart® applications issued to the DR and the DR's REALTOR®s.
• Indemnification: DR and REALTOR® agree to indemnify and hold NMAR, its respective officers, directors, and employees, harmless from any and all loss, cost, expense, claims, or demands whatsoever, by or against NMAR, resulting from loss, use, or misuse of the SentriLock System, including, but not limited to: any and all liabilities, including attorney’s fees, incurred by them as a result of damage or injuries to property or persons arising out of entry by any person into any premises by use of the SentriLock System.
• Reimbursement: DR and REALTOR® agree that, in the event that NMAR shall prevail in any legal action brought by or against the DR/REALTOR® to enforce the terms of this Agreement, the DR/REALTOR® as appropriate may be assessed a reasonable amount of attorney's fees in addition to any other relief to which the Court rules NMAR may be entitled.
• Assignment: This Agreement may be assigned by NMAR to a successor Association or subsidiary Association or other associated entity, but is not assignable or transferrable by REALTOR® or DR.
• Governing Law: The validity of this Agreement and any of its terms and provisions, as well as the rights and duties of the parties hereunder, shall be governed by the laws of the state of Montana and venue shall be Flathead County.
• Severability: If any provision of this contract is held by any court to be invalid, void, or unenforceable, the remaining provisions shall nevertheless continue in full force.

The DR determines if the office is an opt-in or opt-out office. If the DR opts-in, then everyone in the office pays for the service. 

As the DR of my Firm, by signing below I am binding the DR Brokerage Firm to the terms and conditions set forth in this agreement and am authorizing all REALTORS® affiliated with said DR Brokerage Firm to enter this agreement and use the SentriLock system on behalf of the DR Brokerage Firm

• NMAR will process completed NMAR New Member Application once the agent as submitted the application fee. 
• New Members have 30 days to complete the NMAR New Member Orientation Process.
